The merger by absorption of Evropi Holdings by CrediaBank has been completed, according to a joint announcement by the two companies, following the registration of the October 30, 2026 decision of the Ministry of Development in the General Commercial Registry (GEMI). From the date of registration of the notarial merger deed in GEMI, the merger was effected and the following results came into force automatically and simultaneously:
(a) CrediaBank succeeded by law as the universal successor to the entire assets (assets and liabilities) of Evropi, as reflected in Evropi’s transformation balance sheet as the absorbed company, dated June 30, 2026, and as shaped through to the completion of the merger. The universal succession covers all rights, intangible assets, claims, demands — whether disputed or not — obligations, and legal relationships of Evropi in general, including administrative licenses and approvals issued in favor of Evropi.
(b) Evropi was automatically dissolved without entering liquidation and ceased to exist, while its shares were delisted from Euronext Athens on October 30, 2026 — at the end of the trading day.
(c) Any pending legal proceedings involving Evropi, whether initiated by or against it, automatically continue with CrediaBank as the party.
(d) A total of 212,257,200 new common registered voting shares of CrediaBank were issued, each with a nominal value of €0.06, to be allocated to Evropi shareholders based on the determined exchange ratio of 1.4461103244394 new common registered CrediaBank shares for every one (1) common registered Evropi share. As a result, Evropi shareholders become CrediaBank shareholders, while existing CrediaBank shareholders retain the same number of shares they held prior to the merger, now with a new nominal value of €0.06 each. Following the above, CrediaBank’s share capital, as restructured as a result of the merger, amounts to €132,473,401.74, divided into 2,207,890,029 common registered voting shares, each with a nominal value of €0.06.
The new shares will be credited to the securities accounts and portfolios of eligible shareholders in the Dematerialized Securities System (DSS) on October 30, 2026. Eligible recipients of the new shares are those shareholders registered in the Dematerialized Securities System (DSS) as Evropi shareholders on October 29, 2026 (record date).
On October 30, 2026, Euronext Athens approved the listing and commencement of trading of the new CrediaBank shares. Trading of the new shares on the Main Market of Euronext Athens will begin on the first trading day following the completion of the merger, namely November 2, 2026.
